What is the difference between NXP Semiconductors N.V. and NXP B.V.?
NXP B.V. is a direct wholly-owned subsidiary of NXP Semiconductors N.V. NXP B.V. is the issuer of our notes and borrower under the Secured Revolving Credit Facility/ Forward Start Revolving Credit Facility and acts as the holding company of the operational companies within the NXP group.

I am an NXPI shareholder, and when NXP pays its quarterly dividend, 15% of the dividend is retained by the Dutch Government as a tax withholding. I am a U.S. citizen and don’t file a Dutch tax return, how can I obtain a tax refund on the amount withheld by the Dutch Government?
NXP is unable to provide specific tax advice, and we recommend investors consult a financial tax advisor. However, the background is that based on the tax treaty between the US and Dutch governments, the Dutch tax authorities levy a 15% withholding tax on dividends paid by Dutch domiciled corporations. Consequently, no direct cash refund is available from the Dutch tax authorities, but check the possibilities with your tax advisor for a foreign tax credit in your personal US income tax return based on your specific facts and circumstances.
