NXP Semiconductors N.V.'s Annual General Meeting of Shareholders (2026 AGM) will be held on Wednesday, June 10, 2026 at 8:30am Central European Time at the Company's Headquarters, High Tech Campus 60, 5656 AG Eindhoven, The Netherlands.
Persons that wish to attend the 2026 AGM must notify the Board of their intention to do so by submitting their name and the number of ordinary shares (beneficially) owned to NXP Semiconductors N.V., High Tech Campus 60, 5656 AG Eindhoven, The Netherlands, Attention: Secretary, or by sending an email with such information to nxp.agm@nxp.com. In order to gain admittance, we must receive this notification no later than June 3, 2026, one week prior to the date of the meeting.
All attendees must be prepared to provide a valid proof of identity for admittance, such as a driver's license or passport. The additional items that attendees must bring depend on whether they are shareholders of record, beneficial owners or proxy holders. Shareholders holding their shares through a broker must bring proof of beneficial ownership as of May 13, 2026 (the "Record Date"), such as an account statement reflecting their share ownership on or prior to the Record Date, a copy of the voting instruction form provided by their broker or similar evidence of ownership in order to obtain admittance to the Annual General Meeting. No cameras or other recording equipment will be allowed in the meeting room. Failure to provide the requested documents at the door or failure to comply with the procedures for the 2026 AGM may prevent shareholders from being admitted to the 2026 AGM.
Shareholders may request that proxy materials be delivered to them electronically by enrolling at www.proxyvote.com . Not only will this result in faster delivery of the documents but also allows our shareholders to join us in our efforts to support a sustainable future and mitigate our impact on the environment.
